Experience
Beng Chai has been practising for the last 21 years. He has
extensive experience in mergers and acquisitions, capital
markets corporate and commercial matters, and corporate finance.
He handles cross-border transactions involving Malaysian practice.
He provides legal advice to Singapore companies and MNCs on
Malaysian investments and acquisitions and assisting to structure
these investments. He has been named as a leading individual
in Corporate for Malaysia in The Asia Pacific Legal 500
2003/2004 & 2004/2005 editions.
Notable projects and clients
- Advised Advent International and GE Equity on the sale
of MBF Cards.
- Advised Citibank Malaysias RM250 million Islamic
financing for Johor Port Berhad.
- Advised Malaysian Bulk Carriers Berhad, a unit of Kuok
Group, on its listing on the Kuala Lumpur Stock Exchange
in December 2003. The listed entity is Malaysias second
largest shipping company and the listing was one of Malaysia
s largest IPOs in 2003.
- Advising on on-going IPOs involving Singapore and Malaysian
companies.
- Advised Ahold in the disposal of its entire operation
in Malaysia and the sale of more than 30 supermarkets to
Dairy Farm in late 2003.
- Advised on cross-border banking and corporate finance
work relating to foreign investments in Malaysia.
- Advised and structured several finance transactions secured
offshore and funded in Malaysia by Malaysian banks for projects
and acquisitions in Malaysia.
- Advised and worked on investments and acquisitions by
Singapore companies and MNCs in Malaysia, including navigating
the regulatory and equity conditions in Malaysia. Involved
in structuring investments and obtaining regulatory approvals
for them. Dealt extensively with Malaysian government regulatory
authorities on behalf of clients.
- Advised in mergers and acquisitions and corporate and
commercial practice largely involving foreign investors
and Malaysian assets and companies.
- Actively involved in a major privatisation exercise in
Malaysia on behalf of foreign investors involving a lease
of 4000 acres of resort land in Johor. As Malaysian counsel,
advised and actively negotiated privatisation structure
and terms with both Federal and State regulatory authorities
on behalf of clients.
- Advised on restructuring of Malaysian assets for a major
Japanese industrial concern involving a publicly listed
company, manufacturing facilities, R&D centres and sales/marketing
companies, with a transaction size exceeding RM500.0 million.
- Advised on acquisition of 27 supermarkets by a Royal Ahold-Perlis
Plantations JV for more than RM100.00 million in Malaysia.
- Advised and structured Ikeas International Procurement
Centre in Malaysia, and the financing and acquisition of
warehousing facilities for more than RM50.0 million.
- Advised on investment plan by a German software enterprise
to invest up to US$100.0 million in Malaysias MSC
(Multimedia Super Corridor).
Professional background
Beng Chai graduated from the National University of Singapore
with a degree of Bachelor of Laws (LLB (Hons)) in 1985.
He was admitted as an Advocate and Solicitor to the Singapore
Bar in 1986 and as an Advocate and Solicitor to the Malaysian
Bar in 1989.
He is a member of the International Investors Committee and
the Infrastructure Committee of the Malaysian International
Chamber of Commerce and Industry.
He is also a member of the GATS Committee of the Malaysian
Bar.
